Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the RuleLocked website, mobile applications, APIs, or any other services provided by RuleLocked (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”), as well as our Privacy Policy, which is incorporated herein by reference.

If you do not agree to all of these Terms, you must immediately discontinue use of the Service. Your continued access to or use of RuleLocked after the posting of any changes to these Terms constitutes your acceptance of those changes.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are accessing or using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” and “your” shall refer to both you individually and the organization.

2. Description of Service

RuleLocked is an AI-powered trade analysis and journaling platform that provides users with a suite of tools designed to support their trading education and self-improvement. The Service includes, but is not limited to:

• AI-powered technical chart analysis based on user-uploaded screenshots
• Trade scoring and verdict generation using artificial intelligence models
• Personal trading rule creation and compliance checking
• Trade journaling and performance tracking features
• Performance analytics and statistical breakdowns
• Pine Script code generation for TradingView indicators and strategies

4. No Guarantees of Accuracy

RuleLocked utilizes third-party artificial intelligence models to generate analysis and scoring. AI analysis is inherently probabilistic, not deterministic. The same chart submitted multiple times may yield different scores, verdicts, or analysis outputs. This variability is a fundamental characteristic of AI-powered systems and is not a defect.

RuleLocked makes no warranties, guarantees, or representations regarding the accuracy, completeness, reliability, timeliness, or suitability of any AI-generated analysis, score, verdict, suggestion, or other output. Specifically:

• AI-generated scores may be inaccurate, misleading, or incomplete.
• Technical analysis performed by the AI may fail to identify key chart patterns, support/resistance levels, or other relevant market factors.
• The AI may misinterpret user-uploaded chart images due to image quality, formatting, or other factors.
• Rule compliance checking is based on AI interpretation and may not perfectly reflect whether a trade truly conforms to a user’s intended trading rules.
• Market conditions, data feeds, and external factors not visible in a chart screenshot are not accounted for in the analysis.

You are solely responsible for independently verifying any information or analysis provided by RuleLocked before making any trading decision. RuleLocked expressly disclaims any liability for errors or omissions in its AI-generated outputs.

5. Assumption of Risk

Trading in financial markets — including but not limited to stocks, options, futures, forex, cryptocurrencies, and commodities — involves substantial risk of loss and is not suitable for all individuals. By using RuleLocked, you acknowledge and accept the following:

• You may lose some or all of your invested capital. You should only trade with funds you can afford to lose entirely.
• You are solely and exclusively responsible for all of your trading and investment decisions, regardless of whether you used RuleLocked’s tools before, during, or after making those decisions.
• RuleLocked is not responsible for any financial losses incurred as a result of trading decisions made by users, regardless of whether those decisions were informed by RuleLocked’s analysis.
• AI-generated scores and probability assessments do NOT predict market outcomes. A high score does not mean a trade will be profitable, and a low score does not mean a trade will result in a loss.
• The probability scores, confidence levels, and similar numerical outputs generated by RuleLocked are NOT actual probabilities of trading success. They are abstract scoring metrics produced by an AI model and should not be interpreted as statistical probabilities or guarantees of any outcome.
• Leverage, margin trading, and derivatives trading carry additional risks that can amplify losses beyond your initial investment. RuleLocked does not assess or account for leverage-related risks in its analysis.

You agree that you have sufficient knowledge and experience to evaluate the merits and risks of any trading decision and that you will not rely on RuleLocked as the sole basis for any such decision. You voluntarily assume all risk associated with your trading activities.

6. User Accounts

To access certain features of the Service, you must create a RuleLocked account. When creating your account, you agree to the following:

• You will provide accurate, current, and complete information during the registration process and will keep your account information updated at all times.
• You are responsible for maintaining the confidentiality and security of your account credentials, including your password. You agree not to share your login credentials with any third party.
• You are responsible for all activities that occur under your account, whether or not you authorized those activities. You must immediately notify RuleLocked of any unauthorized use of your account or any other security breach.
• Each individual is permitted to maintain only one (1) RuleLocked account. Creating multiple accounts to circumvent usage limits, exploit free tier allocations, or for any other purpose is strictly prohibited and may result in immediate termination of all associated accounts.
• RuleLocked reserves the right to suspend or terminate your account if any information provided during registration or at any time thereafter proves to be inaccurate, outdated, or incomplete.

You may not use another person’s account or impersonate any person or entity. RuleLocked shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

7. Subscription and Billing

RuleLocked offers both free and paid subscription tiers. By subscribing to a paid plan, you agree to the following billing terms:

• Recurring Billing: Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). By subscribing, you authorize RuleLocked to charge your designated payment method at the beginning of each billing cycle.
• Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate at each renewal.
• Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your paid features until the end of your current billing period. No prorated refunds will be issued for partial billing periods.
• Refund Policy: All subscription fees are non-refundable except as expressly stated in our Refund Policy or as required by applicable law. Please refer to our Refund Policy for detailed information on eligibility and procedures.
• Price Changes: RuleLocked reserves the right to modify subscription pricing at any time. We will provide at least thirty (30) days’ written notice of any price increase via email or through the Service. Price changes will take effect at the start of your next billing cycle following the notice period. Your continued subscription after a price change constitutes acceptance of the new pricing.
• Free Tier Limitations: The free tier of RuleLocked is subject to usage limitations, including but not limited to a restricted number of AI analyses per month, limited access to features, and reduced data retention. RuleLocked reserves the right to modify the scope and availability of the free tier at any time without prior notice.
• Failed Payments: If your payment method fails or is declined, RuleLocked may suspend your access to paid features. We may attempt to charge your payment method again over the following days. If payment remains unsuccessful, your subscription may be downgraded to the free tier.

All fees are quoted and charged in United States Dollars (USD) unless otherwise specified. You are responsible for any applicable taxes, duties, or charges imposed by your jurisdiction.

8. Acceptable Use

You agree to use RuleLocked only for lawful purposes and in compliance with these Terms. You agree not to engage in any of the following prohibited activities:

• Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, AI prompts, or underlying logic of the Service or its AI models.
• Automated Access: Using bots, crawlers, scrapers, or any automated means to access, scrape, or interact with the Service without RuleLocked’s express prior written consent. This includes automated submission of charts or automated retrieval of analysis outputs.
• Redistribution of AI Outputs: Reselling, redistributing, sublicensing, publicly displaying, or commercially exploiting AI-generated analysis, scores, verdicts, or other outputs from RuleLocked without prior written authorization.
• Illegal Activities: Using the Service in connection with any illegal activity, including but not limited to insider trading, market manipulation, money laundering, fraud, or any other activity that violates applicable laws or regulations.
• System Manipulation: Attempting to manipulate, game, or exploit the AI scoring system, including but not limited to submitting fabricated or altered charts, repeatedly submitting the same chart to seek favorable scores, or exploiting known weaknesses in the AI model.
• Interference: Interfering with or disrupting the integrity or performance of the Service or its underlying infrastructure, including attempting to overload servers, introduce malware, or exploit security vulnerabilities.
• Misrepresentation: Representing AI-generated analysis from RuleLocked as your own professional financial advice or using RuleLocked outputs to present yourself as a licensed financial advisor, analyst, or broker when you are not.
• Circumvention: Attempting to bypass any usage restrictions, rate limits, authentication mechanisms, or other technical measures implemented by RuleLocked.

RuleLocked reserves the right to investigate suspected violations of these Terms and to take any action it deems appropriate, including but not limited to suspending or terminating your account, reporting illegal activity to law enforcement, and pursuing any available legal remedies.

9. Intellectual Property

The Service, including but not limited to its user interface designs, visual layouts, text content, logos, trademarks, software code, proprietary algorithms, AI prompt structures, scoring methodologies, and all related intellectual property, is owned by RuleLocked or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws.

The AI models utilized by RuleLocked are provided by third-party providers (including Anthropic) and are subject to their respective terms of service and intellectual property rights. RuleLocked does not claim ownership of the underlying AI models themselves.

Your Data: You retain full ownership of all data you upload to or create within RuleLocked, including your chart images, trading journal entries, personal trading rules, and account information. RuleLocked does not claim ownership of your personal data or user-generated content.

AI-Generated Outputs: Analysis, scores, verdicts, and other outputs generated by the AI in response to your inputs are provided to you under a limited, non-exclusive, non-transferable, revocable license for your personal, non-commercial use only. You may not sell, license, distribute, or otherwise commercially exploit these outputs without RuleLocked’s prior written consent.

No part of the Service may be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without the express written permission of RuleLocked. All rights not expressly granted herein are reserved by RuleLocked.

10. User-Generated Content

RuleLocked allows users to upload content, including chart screenshots, trading journal entries, notes, and other materials (“User Content”). You retain full ownership of all User Content you submit to the Service.

By uploading User Content to RuleLocked, you grant RuleLocked a limited, non-exclusive, royalty-free, worldwide license to process, analyze, transmit, and store your User Content solely for the purpose of providing the Service to you. This includes the right to transmit your chart images to third-party AI providers for analysis. This license terminates when you delete your User Content or your account, except as required for backup or legal compliance purposes.

RuleLocked does NOT:

• Claim ownership of your chart images or any other User Content.
• Use your User Content for purposes other than providing the Service to you, unless you explicitly opt in to anonymized data analysis for Service improvement.
• Share, sell, or distribute your User Content to third parties except as necessary to provide the Service (e.g., transmitting images to AI providers for analysis).

You represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and share all User Content you submit to RuleLocked, and that your User Content does not infringe upon the intellectual property rights of any third party.

11. Pine Script Generator Disclaimer

RuleLocked includes a feature that generates Pine Script code for use with TradingView. By using this feature, you acknowledge and agree to the following:

• All generated Pine Script code is provided on an “AS IS” basis without any warranties of any kind, including warranties of accuracy, completeness, functionality, safety, or fitness for a particular purpose.
• RuleLocked makes no guarantees that generated Pine Script code will function correctly, produce profitable results, or be free from errors or bugs. AI-generated code may contain logical errors, syntax issues, or unintended behavior.
• You must thoroughly review, understand, and test all generated Pine Script code in a simulated or paper-trading environment before deploying it on a live trading account. Never deploy AI-generated code directly to a live account without extensive testing.
• RuleLocked is not responsible for any financial losses, missed opportunities, or damages resulting from the use of generated Pine Script code, including losses caused by bugs, errors, or unintended behavior in the generated code.
• Generated Pine Script code is not a trading strategy recommendation. The code implements logic based on user input and AI interpretation, and does not constitute advice to trade in any particular manner.
• TradingView and Pine Script are trademarks of TradingView Inc. RuleLocked is not affiliated with, endorsed by, or sponsored by TradingView Inc.

12. Affiliate Program

RuleLocked offers an affiliate program that allows eligible users to earn commissions by referring new paying subscribers to the Service. Participation in the affiliate program is subject to the following terms:

• Commission Rate: Affiliates earn a 20% recurring commission on all subscription payments made by users they refer for the duration of the referred user’s active subscription.
• Payment Terms: Commissions are calculated on a monthly basis and paid out via the designated payment method. A minimum payout threshold may apply. Payment processing times and methods are specified in the affiliate dashboard.
• Eligibility: RuleLocked reserves the right to approve or reject affiliate applications at its sole discretion. You must have an active RuleLocked account in good standing to participate.
• Modification and Termination: RuleLocked reserves the right to modify the commission rate, payment terms, or any other aspect of the affiliate program at any time with thirty (30) days’ notice. RuleLocked may also suspend or terminate the affiliate program, or your participation in it, at any time and for any reason.
• Fraud Prevention: Any attempt to fraudulently generate referrals, including but not limited to self-referrals, using fake accounts, incentivized sign-ups that violate these Terms, cookie stuffing, or any form of artificial or deceptive referral generation, will result in immediate termination from the affiliate program, forfeiture of all unpaid commissions, and potential termination of your RuleLocked account.
• Promotional Standards: Affiliates must not make false, misleading, or exaggerated claims about RuleLocked or its capabilities, including claims about guaranteed profits or trading success. All promotional materials must comply with applicable advertising laws and regulations.

13. Data Privacy

Your privacy is important to RuleLocked. Our collection, use, storage, and protection of your personal information is governed by our Privacy Policy, which is available at rulelocked.com/privacy and is incorporated into these Terms by reference.

By using RuleLocked, you consent to the collection and processing of your data as described in our Privacy Policy. A brief overview of our data practices includes:

• We collect account information (name, email), usage data, and content you upload to provide and improve the Service.
• Chart images you upload are transmitted to third-party AI providers for analysis. These transmissions are governed by the respective AI provider’s data handling policies.
• We implement industry-standard security measures to protect your data, but no method of electronic storage or transmission is 100% secure.
• We do not sell your personal information to third parties.
• You have the right to request deletion of your account and associated data, subject to legal retention requirements.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RULELOCKED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT RULELOCKED HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses.
• Any financial losses, trading losses, investment losses, or missed trading opportunities arising from the use of or inability to use the Service.
• Any losses arising from reliance on AI-generated analysis, scores, verdicts, or other outputs provided by the Service.
• Any losses arising from unauthorized access to or alteration of your data or transmissions.
• Any losses arising from service interruptions, downtime, errors, or technical failures.

RULELOCKED’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO RULELOCKED DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. If you have not paid any fees to RuleLocked, RuleLocked’s total liability shall not exceed fifty United States Dollars ($50.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, RuleLocked’s liability shall be limited to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless RuleLocked, its officers, directors, employees, agents, affiliates, partners, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in any way connected with:

• Your use of or access to the Service, including any data or content transmitted or received by you.
• Any trading or investment decisions you make, whether or not influenced by RuleLocked’s AI analysis or outputs.
• Your violation of these Terms or any applicable law, rule, or regulation.
• Your violation of any rights of a third party, including intellectual property rights.
• Any claim that your User Content caused damage to a third party.
• Any misrepresentation made by you in connection with the Service.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RULELOCKED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY — RuleLocked does not warrant that the Service is suitable for commercial or trading purposes.
• FITNESS FOR A PARTICULAR PURPOSE — RuleLocked does not warrant that the Service will meet your specific requirements or that it will help you achieve any particular trading outcomes.
• NON-INFRINGEMENT — RuleLocked does not warrant that the Service does not infringe the rights of any third party.
• ACCURACY OR RELIABILITY — RuleLocked does not warrant that the AI analysis, scores, or any other output will be accurate, reliable, complete, or error-free.
• UNINTERRUPTED OR ERROR-FREE OPERATION — RuleLocked does not warrant that the Service will be available at all times or that it will operate without errors, bugs, or interruptions.
• SECURITY — While RuleLocked implements reasonable security measures, it does not warrant that the Service is immune to security breaches, hacking, or other unauthorized access.

You expressly understand and agree that your use of the Service is at your sole risk. No advice or information, whether oral or written, obtained from RuleLocked or through the Service shall create any warranty not expressly stated in these Terms.

17. Termination

Termination by RuleLocked: RuleLocked reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent activity, extended periods of inactivity, failure to pay applicable fees, or discontinuation of the Service.

Termination by You: You may cancel your account and stop using the Service at any time by following the cancellation procedures in your account settings or by contacting our support team. If you have an active paid subscription, cancellation will take effect at the end of your current billing period, and you will not be charged for subsequent periods.

Effect of Termination: Upon termination or cancellation of your account:

• Your right to access and use the Service will immediately cease.
• RuleLocked may, at its discretion, delete your account data, including uploaded charts, journal entries, and analysis history. We recommend exporting any data you wish to retain prior to cancellation.
• Any outstanding fees owed to RuleLocked remain due and payable.
• Provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to Sections 3, 4, 5, 9, 14, 15, 16, and 18.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The place of arbitration shall be Wilmington, Delaware, USA. The language of the arbitration shall be English.

Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against RuleLocked.

Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

Time Limitation: Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after such claim arose, or the claim is permanently barred.

19. Changes to Terms

RuleLocked reserves the right to modify, amend, or update these Terms at any time at its sole discretion. When we make material changes to these Terms, we will:

• Provide at least thirty (30) days’ advance notice before the changes take effect. Notice may be provided via email to the address associated with your account, through an in-app notification, or by posting a prominent notice on our website.
• Update the “Last updated” date at the top of this page.
• Make the revised Terms available on this page for your review.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the changes take effect.

We encourage you to periodically review these Terms to stay informed of updates. It is your responsibility to check for changes to these Terms.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect.

To the extent possible, the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties. If such modification is not possible, the offending provision shall be severed from these Terms.

The failure of RuleLocked to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by RuleLocked.
